GENERAL CONDITIONS OF USE - MERCHANTS
ARTICLE 1 – PURPOSE
SCENTISSIME is a platform for connecting individual buyers of legal age (the “Buyers”) and professional Merchants (the “Merchants”) registered on the Website.
To do this, SCENTISSIME provides Merchants with the technological tools enabling them to sell their Products to Buyers on the Website, offered at a fixed price.
These General Terms of Use (the "GTU") govern the use of SCENTISSIME services by Merchants. Registration as a Merchant on the Website implies acceptance of these GTU by the Merchant, once validated and confirmed by SCENTISSIME managers.
Sales made through the Service between Buyers and Merchants are governed by the General Conditions of Sale of the Service (the "GCS"), accepted by the Buyer during each purchase, which supplement these Buyer GTC.
ARTICLE 2 - FIELDS OF APPLICATION
These T&Cs apply without restriction or reservation to the use of all services and technological tools made available to Merchants by SCENTISSIME.
These tools allow Merchants registered on the Website to be put in contact with individual Buyers, to reference and describe the Products that they offer for sale on the Website, to record Product Sales, to collect the price, and to manage after-sales service.
Sales made through SCENTISSIME are deemed to be concluded between the Buyer and the Merchant.
These T&Cs are accessible at any time on the Website and will prevail, where applicable, over any other version or any other contradictory document.
SCENTISSIME reserves the right to modify its general conditions, particularly in the following cases:
- Adapt the General Conditions to the legislative or regulatory provisions in force ;
- Adapt the General Conditions to any decision rendered by a French court, or by any other competent authority ;
- - Rectify any errors;
- - Provide clarifications to these conditions in the interests of transparency and clarity ;
- - Take into account market developments and its practices;
- - In the event of a change in SCENTISSIME’s activity and/or the development of a new activity.
The applicable conditions are those in force on the Website on the date the Merchant account is opened.
ARTICLE 3 – DEFINITIONS
Buyer: means any natural person who purchases or wishes to purchase one or more Product(s) on the Site.
Merchant: means any legal entity that lists one or more Products on the Website.
User: means the Buyer and/or the Merchant, but also any natural or legal professional person exclusively accessing and/or using the Site, whether or not a sale is made.
General Conditions of Use and/or General Conditions and/or CGU: means these General Conditions of Use.
General Conditions of Use “Buyer”: means the General Conditions of Use to be accepted by Buyers by using the Website.
These conditions are also applicable to the Merchant.
Sales Space: means a virtual space made available by SCENTISSIME on the Site allowing each Merchant to manage the sale of its Products and from which the Buyer can purchase the Products put on sale by the Merchant.
Subscription: means a monthly fixed amount paid by the Merchant for the entire duration of use of their Virtual Sales Space.
Promotional options: means the promotional services offered by SCENTISSIME aimed at promoting the Products or Brands of the Merchants, on the Site and outside of it.
Product: means the items and/or products offered for sale by the Merchants on the Website https://www.scentissime.com/en/.
Product Price and/or Sales Price: means the Price excluding VAT and excluding Commission due to SCENTISSIME by the Merchant.
Total Price: means the Price including tax of the Product to which are added the delivery costs payable by the Buyer.
Net Merchant Price: means the sum ultimately returned to the Merchant at the end of a Sale, namely: Product Price including tax – SCENTISSIME Commission – Sales Fees = Net Merchant Price.
Website: means the website https://www.scentissime.com/en/, as well as SCENTISSIME mobile applications downloaded on smartphones or tablets.
Sale: means the transaction which transfers ownership of a Product directly between the Buyer and the Seller, subject to payment of the Total Price.
ARTICLE 4 – CREATION OF MERCHANT ACCOUNT
In order to use the services of the Website, the Merchant must accept these T&Cs and their annexes.
Access to the Service is subject to the opening of a Merchant account and the payment of a monthly subscription. The monthly subscription will be billed regardless of the status of the orders.
To access the Service, the Merchant must provide the data allowing his identification as well as his contact details. When opening this account, the Merchant undertakes to provide accurate information and to inform SCENTISSIME without delay of any change affecting this information.
To use the Service, the Merchant must use the username and password created when opening his account.
Identifiers and passwords are placed under the full and sole responsibility of the Merchant. The Merchant undertakes to take all useful measures to ensure that they are not known to third parties or used by unauthorized persons.
The Merchant is responsible for preserving the confidentiality of identifiers and passwords. In this regard, the Merchant is responsible for the consequences of the loss or misappropriation of identifiers and passwords, unless there is proof of fraudulent use that cannot be attributed to it.
In the event of loss, misappropriation or fraudulent use of his/her identifier and/or password, the Merchant undertakes to immediately notify SCENTISSIME from the Merchant account login page.
The Merchant is responsible for any undue access, damage, disruption and harmful consequences caused by your failure to maintain confidentiality of identifiers.
In the event of non-compliance with these T&Cs by the Merchant, SCENTISSIME reserves the right to temporarily or permanently interrupt its access.
The fact that a Merchant registers on the website implies full adherence and acceptance of these T&Cs as well as the “Buyer” General Conditions of Use, which the Merchant also acknowledges having read.
